Telehealth Disclaimer

1. VERDAMD IS NOT A HEALTHCARE PROVIDER

VerdaMD LLC ("VerdaMD," "we," "us," or "our") operates a technology platform that connects individuals with independent, board-certified physicians and medical groups (collectively, "Providers") who deliver telehealth-based clinical services. VerdaMD is not a medical group, does not practice medicine, and does not provide medical advice, diagnosis, or treatment. All clinical decisions, including whether to prescribe medication, are made solely by your Provider in the exercise of independent medical judgment. VerdaMD does not control, direct, or interfere with any Provider's clinical decision-making.

2. NATURE OF TELEHEALTH SERVICES

Telehealth involves the delivery of healthcare services using electronic communications, information technology, or other means between a Provider and a patient who are not in the same physical location. Telehealth consultations conducted through the VerdaMD platform may include asynchronous questionnaire-based evaluations, secure messaging, and, where clinically indicated, audio or video consultations. Your Provider will determine the appropriate modality for your consultation.

3. LIMITATIONS OF TELEHEALTH

Telehealth has inherent limitations, including but not limited to:

(a) The inability of your Provider to conduct a physical examination, which may limit the Provider's ability to diagnose or treat certain conditions.

(b) The potential for technology failures, interruptions, or delays that could affect the quality or availability of the consultation.

(c) The possibility that your Provider may determine, in their clinical judgment, that telehealth is not appropriate for your condition and may refer you for in-person care.

(d) The risk that, despite reasonable security measures, electronic communications could be intercepted or otherwise compromised.

Telehealth is not a substitute for in-person care in all circumstances. Your Provider may recommend that you seek in-person evaluation or treatment if your clinical needs require it.

5. NO GUARANTEE OF PRESCRIPTION

Completing an intake questionnaire or consultation through the VerdaMD platform does not guarantee that you will receive a prescription. The decision to prescribe medication is made solely by your Provider based on their independent clinical assessment. If your Provider determines that a prescription is not clinically appropriate, you will receive a full refund for that consultation.

6. COMPOUNDED MEDICATIONS

Medications prescribed through the VerdaMD platform may be compounded by our PCAB-accredited pharmacy partner. Compounded medications are not FDA-approved products. They are formulated to order using the same active pharmaceutical ingredients as commercially available medications and are prepared in compliance with applicable federal and state pharmacy regulations. Each batch is third-party tested for potency, sterility, and identity. Actual formulation, dosage, and vial appearance may vary based on your individual prescription as determined by your Provider.

7. CASH-PAY SERVICES

VerdaMD and the Providers accessible through the platform do not participate in any health insurance plans, including Medicare, Medicaid, or any other federal or state healthcare programs. All services obtained through the platform are provided on a cash-pay basis. You are solely responsible for the cost of all services and products. Neither you, VerdaMD, nor any Provider will submit a claim for reimbursement to any federal or state healthcare program for services or products obtained through the platform. 8. USE OF ARTIFICIAL INTELLIGENCE

VerdaMD and/or its affiliated Medical Groups may use artificial intelligence technologies, including AI-assisted clinical documentation tools, to support the delivery of care. Any documentation generated by AI technology is reviewed, corrected, and approved by your Provider before being included in your medical record. AI tools are used to support, not replace, your Provider's independent clinical judgment.

9. ELIGIBILITY AND AVAILABILITY

The VerdaMD platform is available only to individuals who are at least eighteen (18) years of age and who are located in states where the applicable Medical Group is authorized to provide services. Service availability may change from time to time based on state regulatory requirements.

By using the platform, you represent and warrant that you meet these eligibility requirements and that all information you provide, including your location, is truthful and accurate.

10. PRIVACY AND SECURITY

Your personal and health information is collected, used, and disclosed in accordance with our Privacy Policy, the applicable Medical Group's Notice of Privacy Practices, and our Consumer Health Data Privacy Policy. Telehealth communications conducted through the VerdaMD platform are transmitted over secure, HIPAA-compliant connections. 11. RELATIONSHIP TO OTHER AGREEMENTS

This Telehealth Disclaimer is provided for informational purposes and supplements the VerdaMD Terms of Service and the Medical Group's Telehealth Informed Consent. In the event of any conflict between this Disclaimer and the Terms of Service, the Terms of Service will govern. Your use of the platform remains subject to all applicable agreements.
